These Terms of Service ("Terms") govern your access to and use of Vepixa websites, applications, AI creative tools, content generation features, account services, and related services provided by Vepixa, Inc. ("Vepixa", "we", "us", or "our"). By accessing or using Vepixa, you agree to these Terms.

1. Eligibility and accounts

You must be able to form a legally binding agreement to use Vepixa. If you use Vepixa on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at [email protected] if you believe your account has been compromised.

2. Services

Vepixa provides AI-assisted tools for creating, editing, organizing, and managing creative assets such as text, images, audio, video, prompts, workflows, templates, and related project materials. We may add, modify, suspend, or discontinue features at any time.

Some features may rely on third-party model providers, infrastructure providers, payment processors, storage providers, analytics providers, or other service providers. Their availability and performance may affect the Services.

3. User content and generated output

"User Content" means prompts, files, images, audio, video, text, project materials, and other content that you submit to Vepixa. "Output" means content generated or edited by the Services in response to your User Content or instructions.

You retain any rights you hold in your User Content. You grant Vepixa a limited license to host, process, transmit, reproduce, modify, and display User Content as needed to provide, secure, improve, and support the Services.

Subject to your compliance with these Terms and applicable law, Vepixa does not claim ownership of your Output. You are responsible for reviewing Output before use and for determining whether Output is appropriate for your intended purpose.

4. Acceptable use

You may not use Vepixa to:

  • Violate applicable law or the rights of others.
  • Create, upload, or distribute content that is unlawful, harmful, abusive, deceptive, defamatory, infringing, or invasive of privacy.
  • Impersonate a person or entity, create misleading deepfakes, or misrepresent the origin of generated content.
  • Upload malware, attempt unauthorized access, interfere with service operation, scrape at scale, or bypass technical limits.
  • Use the Services to develop or distribute spam, phishing, fraud, credential theft, or other abusive automation.
  • Remove notices, reverse engineer protected parts of the Services, or use the Services in a way that overloads our systems.

We may investigate suspected violations and may remove content, limit features, suspend accounts, or terminate access where appropriate.

5. Plans, credits, and payments

Some features may require paid plans, usage credits, subscriptions, or other fees. Pricing, included usage, renewal terms, and refund eligibility will be shown at purchase or in the relevant product interface.

You authorize us or our payment processor to charge applicable fees, taxes, and renewal amounts. Unless required by law or expressly stated otherwise, fees and used credits are non-refundable.

6. Intellectual property

Vepixa, the Vepixa name, logos, website, software, workflows, interface, documentation, and related technology are owned by Vepixa, Inc. or its licensors and are protected by intellectual property laws. These Terms do not transfer ownership of Vepixa technology to you.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as allowed by these Terms or with our written permission.

7. Third-party services and links

The Services may link to or integrate with third-party websites, models, APIs, payment processors, cloud providers, or social platforms. Vepixa is not responsible for third-party content, policies, availability, or practices. Your use of third-party services may be subject to their separate terms.

8. Service availability

We work to keep Vepixa reliable, but we do not guarantee uninterrupted, error-free, or secure operation. Features may be unavailable due to maintenance, outages, provider issues, security events, or other reasons.

9. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Vepixa disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

AI-generated Output may be inaccurate, incomplete, similar to other content, or unsuitable for certain uses. You are responsible for human review, rights clearance, compliance review, and final decisions about how Output is used.

10. Limitation of liability

To the maximum extent permitted by law, Vepixa, Inc. and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, Vepixa's total liability for any claim relating to the Services will not exceed the amount you paid to Vepixa for the Services giving rise to the claim during the three months before the event giving rise to liability.

11. Indemnity

You agree to defend, indemnify, and hold harmless Vepixa, Inc. from claims, damages, liabilities, costs, and expenses arising from your User Content, your use of Output, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Termination

You may stop using Vepixa at any time. We may suspend or terminate your access if you violate these Terms, create risk for Vepixa or others, or if required by law. Sections that by their nature should survive termination will survive.

13. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the website, product interface, or email where appropriate. Continued use of the Services after changes become effective means you accept the updated Terms.

14. Governing law and disputes

These Terms will be governed by the laws applicable to Vepixa, Inc., without regard to conflict of law rules. Any dispute will be handled in a court of competent jurisdiction unless applicable law requires otherwise.
